International Franchise Paralegal

Role Overview

In this position, you’ll be a key partner to the legal team, helping to coordinate global legal work, maintain corporate structures, and support public company obligations. Your work will ensure smooth operations across multiple business areas and international markets.


Primary Areas of Impact
Global Operations & Franchise Support
  • Work closely with overseas teams and external counsel to assist with franchise materials, regulatory requirements, and compliance needs across various countries.
  • Help prepare for expansion into new markets by tracking approvals, compiling documentation, and supporting international launch activities.
  • Maintain organized files, research summaries, and timelines for global franchise initiatives and renewals.
Entity Management & Governance Administration
  • Maintain corporate documents for all domestic and international entities, ensuring records and governance materials stay current and accurate.
  • Assist with the planning and preparation of meeting materials for boards and shareholders.
  • Track global entity deadlines, help coordinate submissions, and ensure proper documentation is retained.
Public Company & Securities Support
  • Contribute to the preparation of required regulatory filings at both the state and federal level.
  • Support ongoing SEC reporting cycles, equity-related recordkeeping, and insider reporting.
  • Keep securities and stock administration files organized and audit-ready.
Legal Operations & Cross-Functional Support
  • Manage contract repositories, ensuring agreements are processed, finalized, and stored appropriately.
  • Partner with internal teams—including Finance, HR, Accounting, and International—to ensure compliance with corporate policies and alignment across the business.
  • Provide project coordination and administrative support for legal initiatives and special assignments.

Education & Credentials

  • Bachelor’s degree or Paralegal Certificate from an accredited institution required.
  • Additional certifications or coursework in corporate law, securities, or international franchising are a plus.

Experience

  • 5+ years supporting corporate legal teams or law firms in business, governance, or compliance matters.
  • Experience with public company governance, securities filings, or regulatory compliance is highly desirable.
  • Prior exposure to franchise law or international legal operations is strongly preferred.

Skills & Competencies

  • Deep understanding of corporate governance processes and securities compliance requirements.
  • Exceptional organizational and project management skills, with an ability to handle multiple priorities.
  • Strong written and verbal communication skills, able to collaborate across teams and jurisdictions.
  • High level of integrity and discretion when managing confidential information.
Corporate Paralegal contract

We are seeking a skilled Corporate Paralegal to support the legal team in a dynamic and fast-paced environment. This contract position offers the potential to transition to a permanent role based on performance.

Role Overview:
The Corporate Paralegal will assist with corporate governance, entity management, contracts, compliance, and day-to-day legal operations to ensure smooth business functioning.

Key Responsibilities:

  • Assist with the creation, maintenance, and dissolution of corporate entities, including preparing resolutions and maintaining accurate records.
  • Draft, review, and manage contracts with vendors, business partners, and other stakeholders, ensuring compliance with company policies and applicable regulations.
  • Support corporate governance, including preparing board and shareholder materials, meeting documentation, and corporate filings.
  • Track and manage legal and regulatory deadlines to maintain compliance.
  • Collaborate with internal teams (Finance, HR, Operations) and external counsel to collect documentation and ensure proper filing.
  • Provide general legal support and perform ad-hoc tasks as assigned by the legal team.

Qualifications:

  • Excellent communication skills and discretion in handling sensitive information.
  • Bachelor’s degree and/or Paralegal Certification from an accredited institution.
  • 3–5+ years of experience in a corporate legal department or law firm.
  • Solid understanding of corporate governance and compliance processes.
  • Strong organizational skills, attention to detail, and ability to manage multiple priorities.
